Notice is hereby given of a Special Meeting of the Members to be held on Wednesday, February 20, 2013, at 7 p.m., mountain time, at the offices of Garlington, Lohn, and Robinson, PLLP, at 350 Ryman Street, Missoula, Montana.
The Board of Directors has called this special meeting. The purpose of the meeting is outlined as follows:
When Run Wild Missoula, Inc. (the "Corporation") was initially created, its organizing documents, including its Articles of Incorporation and Bylaws, were structured to make it a "member" organization. This means that members, who are those people who apply and pay dues to the Corporation, are afforded certain voting rights, including electing the Board of Directors, and participation in other various corporate activities. However, even though the organizing documents are structured as such, and the Corporation does accept membership dues and has members, its members have never actually been involved in voting and the business affairs of the Corporation. Rather, the Corporation has always been run as a public benefit corporation without members. Because of this, the Board of Directors has proposed amending the Articles of Incorporation to remove all references to members and member approval. Instead, the business and affairs of the Corporation shall be managed only by its Board of Directors.
The purpose of the special meeting is to allow the members to be involved in and discuss the amendments to the Articles of Incorporation and to vote to officially change the Corporation to a public benefit corporation without members.
